other eMed websites that directly link to this privacy statement (the “Website”) and the eMed

Website or the App. This Privacy Policy also describes our practices for collecting, using,
maintaining, protecting, and disclosing that information. Use of the Website and the App is
governed by this Privacy Policy and our Terms of Use.  This Privacy Policy is incorporated into
our Terms of Use. All capitalized terms used in this Privacy Policy but not defined herein have
the meanings assigned to them in the Terms of Use. By accessing or using the Website or the
App, you acknowledge that you have read, understood, and agreed to be legally bound by and
comply with this Privacy Policy and our Terms of Use. If any term in this Privacy Policy is
unacceptable to you, please do not use the Website or the App, or provide any Personal
Information. This Privacy Policy may change from time to time (see Revisions to Our Privacy

eMed is committed to protecting your privacy. We provide this Privacy Policy to explain the type
of information we collect and to inform you of the specific practices and guidelines that protect
the security and confidentiality of Personal Information. Please review our Notice of Privacy

Health Insurance Portability and Accountability Act (“HIPAA”).

including the following. Please note even without creating an account, we still collect from you

Information by which you may be personally identified, such as name, mailing address, email
address, telephone number, and account information, postal address, gender, occupation,
billing and collection information that you provide to us, information related to your eligibility for
the Health Care Services, or any other information collected on the Website or the App that is
defined as personally identifiable information under applicable law (“Personal Information”).

Clinical or patient information or data, and other health-related information. This includes
information collected in connection with your use of the Website or the App that may be
necessary for you to receive Health Care Services, including previous doctors, applicable
clinical history and condition, blood pressure reading and other clinical and health information,
and any other information exchanged in emails, texts, telephone or video chats or calls between
you and eMed, eMed’s third-party partners, or your medical providers and their professional
entities.

Information to process or respond to your inquiries related to requests for treatment, payment,
customer service; and when you provide feedback on our Website or the App, including
payment processing information that includes billing information, such as a name, address,
email address, and payment card information. When you provide or update your payment
processing information, we transmit the payment via an encrypted connection to a third-party
credit card processor. eMed does not collect or store your full credit card details.


If you submit an inquiry, register for an account, or provide information on or through our
Website or the App, we may collect information related to your location and demographics and
your contact information including your name, mailing address, email address, and phone
number.


If you submit an inquiry, or provide information on our Website or the App, we may collect
commercial information including information about your purchases, subscriptions, and services
you have shown interest in.
We may collect Personal Information contained within your communications with us via email,
social media, telephone, or otherwise, and in certain cases we may use third-party service
providers to do so. Where permitted by applicable law, we may collect and maintain records of
calls with our agents, representatives, or employees via message, chat, post, or similar
functionality.


When you use our Website or the App, we may automatically record information, including your
Internet Protocol address (IP Address), geolocation of your device, browser type, referring URLs
(e.g., the website you visited before coming to our Website), domain names associated with
your internet service provider, information about your Internet connection, the equipment you
use to access our Website, usage details, and any other information regarding your interaction
with our Website.


Information that you provide for display or posting on the Website or the App, including
information provided in social media and/or testimonials. If you provide a testimonial, your first
name will be posted along with the testimonial. Please remember that testimonials are located
in the public areas of our Website. Do not provide information for display or posting on the
Website or the App that you would not want others to save or share.

As with many other websites and applications, as you navigate through and interact with our
Website and our App, we may use automatic data tracking technologies (collectively “cookies”)
to collect certain information about your equipment, browsing actions, and patterns, including:

Our Website uses two types of cookies: single-session (temporary) and multi-session

Website Delivery and Appearance

We may use third party providers to enable certain customer interaction opportunities, content
delivery (like audio or video), or other service capabilities. Examples include, but are not limited
to, the following functionality:


• Content Delivery: We partner with service providers to host our Site and deliver specific
content in support of our Services. For example, we use Adobe Typekit to serve fonts on
our Site, which is governed by Adobe Typekit's Privacy Policy. We also partner with
companies like YouTube [and Vimeo] to deliver specific content delivery like audio and

• Customer Interaction: We may enhance our customer interactions by offering features
like Google Maps. Each of these offerings are governed by the terms, conditions, and
policies of the underlying service provider. For example, please see Google

on how that feature operates.

Website Analytics and Session Replay

We use analytics and session replay services, that use cookies and other technologies that
collect your Personal Information, to assist us with analyzing our Website traffic and site usage
to optimize, maintain, and secure our Website and inform subsequent business decisions
(including, e.g., advertising). These include, but are not limited to, the following third-party

• Meta Pixels: We use Meta pixels to track user activity on our Website and improve
downstream offerings, including interest-based advertising for our services and those of
our partners and service providers.


Camera and Microphone

The App requires access to your camera and microphone to observe your telehealth proctoring
session and provide guidance during your telehealth proctoring session. It is always your choice
whether to allow the App to access your camera and microphone. The App cannot access your
camera without your permission.

Information We Receive From Other Sources.

This is information we receive about you if you use any of the other websites we operate or
other services we provide. We sometimes work with third parties and they sometimes provide
information about you. We obtain information from such third parties with whom we work to
provide you with certain services (including, for example, sub-contractors, analytics providers,
advertising networks, and search information providers, or third parties who share your
information to provide Health Care Services to you, such as a medical provider including your
information when they message or communicate with other medical providers or eMed).

In addition, we may use third-party providers to serve or track interactions on other websites.
You may link to or access our Website using other third-party websites. Use of such third-party
websites is subject to the terms of service and privacy policies of those third parties. eMed does
not control the use of third-party technology or the resulting information and is not responsible
for any actions or policies of such third parties.

Where permitted by applicable law, we may also receive Personal Information about you from
third-party sources (e.g., lead generators) to determine whether a eMed product or service is
right for you and to send promotional emails to customers and prospective customers.
We may combine information we receive from other sources with information you give to us and
information we collect about you. Depending on the types of information received, we will use
the information received from other sources or the combined information for the purposes
described in Section III: HOW WE USE YOUR INFORMATION.

III. HOW WE USE YOUR INFORMATION

We may use information collected about you, including Personal Information, in the following
ways:


To complete any registration or other transactions or actions you request online, such as
payment processing, including determining eligibility for Health Care Services, use, and other
benefits.

To communicate with you about our Health Care Services and information, products, and
services that you request from us (which may include telephone, voicemail, email, SMS/text
messages, or notifications within the Website or the App).

To contact you if you receive Health Care Services resulting from your use of the Website or the
App.

To administer your account, including processing your payments and fulfilling your orders if you
receive Health Care Services resulting from your use of the Website or the App.

To operate the or the App and perform any services associated with the Website or the App,
including providing you with technical support and to improve the Website or the App, and our
products and services.

To provide you with information that you have requested or to respond to your inquiries.

To create de-identified information that cannot be used to personally identify you, such as
aggregate statistics relating to the use of our service.

To measure or understand the effectiveness of communications (including advertising) that we
send to you and others, and to deliver relevant communications to you and to provide you with
communications from eMed, surveys, newsletters, and other information.

To better understand our audience.

To enhance the safety and security or performance of our products and services. This includes
verifying your identity and preventing or detecting fraud or other unauthorized or illegal activities.

To design, develop, and communicate with you about our features, products, and services, or,
subject to any consents or authorizations that are required by applicable law, those of our
subsidiaries, affiliates, and parent companies and any of their related businesses and those of
our third-party partners.

To notify you about changes to our services, the Website, or the App.

To enforce this Privacy Policy and any other terms that you have agreed to, including to protect
the rights, property, or safety of us or any other person, or the copyright-protected content of the
Website and the App.

For any purpose where you have given your consent (where legally required).

To comply with applicable federal, state, and other laws and regulations.

As part of a corporate transaction, such as in connection with the sale of part or all of our assets
or business, the acquisition of part or all of another business or another business’ assets, or
another corporate transaction, including bankruptcy.

If you are applying for employment with us, we also use Personal Information to process your
job application, to verify the information you have provided in your application, conduct
interviews, perform background and reference checks, to communicate with you and answer
your questions, to confirm your eligibility for employment, and improve our recruiting processes.
We may also save your Personal Information for future employment opportunities with us.

IV. DISCLOSURE OF YOUR INFORMATION

We may disclose Personal Information that we collect or you provide as described in this

Website or the App, such as service providers that help us run and maintain the technology and
security infrastructure that support our Website or that provide services such as email delivery,
auditing and similar services.

To medical providers, including without limitation, physicians, health care facilities and
organizations, pharmacies, and laboratories, that provide any services to you, including medical
providers with whom you communicate and/or medical providers who review your information in
providing Health Care Services to you. You acknowledge and agree that when medical
providers provide services to you, the medical providers and all personnel of their professional
entities may see any information you provide.


To eMed’s and its affiliated professional entities’ employees, or other third parties who provide

services to eMed or an affiliated professional entity.


To our affiliates and their employees, including for the purpose of posting information or
notifications about Health Care Services in your account.
To fulfill the purpose for which you provide it. For example, if you sign up for certain services,
we may share your information in order to provide those services.


To third-party credit card processors via an encrypted connection so that they can process any
payments by you.


To business partners. For example, we may disclose your Personal Information with a company
whose products or services we think may be of interest to you or who we co-sponsor a
promotion or service with.


To any third parties we believe necessary or appropriate to comply with applicable laws.

To entities that assist us with marketing and advertising. We may allow or enable third parties
to collect Personal Information to provide their interest-based advertising on behalf of our
products and services, or their own. Interest-based advertising occurs when advertisements are
shown to you based on information collected from your online interactions over time and across
multiple websites, devices, or online services that you visit or use. Some companies may
engage in cross-context behavioral advertising to predict your preferences and show you
advertisements that are most likely to be of interest or relevant to you. We do not control these
third parties' collection or use of your information for these purposes, or the opt-out options they
may individually offer you via their terms, conditions, and privacy policies. If you have any
questions about an advertisement or other targeted content, you should contact the responsible
provider directly. Examples of the third-party service providers we engage to serve interest-
based advertisements include Meta Ads (including Meta Pixels and Facebook advertising
services) and LinkedIn marketing solutions (including LinkedIn Ads and Analytics. Please note
that while we do not sell Personal Information in exchange for monetary consideration, we do
share Personal Information for other benefits that could be deemed a “sale” or “sharing” under
various data protection laws, because they are sometimes broadly defined to include activities
such as the delivery of interest-based advertising on websites or allowing third parties to receive
certain information, such as cookies, IP address, and/or browsing behavior. We similarly
engage in interest-based advertising when we use data about your activities on our Website to
serve you ads on websites owned or controlled by third parties. It is in this context that we have
provided advertising networks, data analytics providers, social networks, and video sharing
platforms with Personal Information such as your IP address, device information, Internet and
other electronic network activity information, and geolocation information in the last twelve
months.


For any other purpose disclosed by us when you provide the information or with your consent.
If we are under a duty to disclose or share your Personal Information in order to comply with
applicable law.


If we are under a duty to disclose or share your Personal Information to comply with any legal
obligation, or in order to enforce or apply our Terms of Use and other agreements; or to protect
the rights, property, or safety of eMed, our customers, or others. This may include exchanging
information with other companies and organizations for the purposes of fraud protection and
credit risk reduction.


With respect to de-identified information, for any purpose without restriction.


In the event of a sale, merger, consolidation, change in control, transfer of substantial assets,
reorganization, or liquidation, we may transfer, sell, or assign to third parties information
concerning your relationship with us, including, without limitation, Personal Information that you
provide and other information concerning your relationship with us.

V. CHOICES ABOUT HOW WE USE AND

DISCLOSE YOUR INFORMATION

We strive to provide you with choices regarding the Personal Information you provide to us. We
have created mechanisms to provide you with control over your information:

Tracking Technologies and Advertising.  To manage your preferences with respect to these
technologies, you can:


• Visit our preferences page, or customize your browser settings to refuse all or some
browser cookies, or to alert you when websites set or access cookies. If you disable
certain cookies, please note that some parts of our Site may not function properly. These
settings may be lost and require reconfiguration if you delete your cookies.

• Block the collection and use of your information by online platforms and ad tech
companies for the purpose of serving interest-based advertising by visiting the opt out
pages of the self-regulatory programs of which those companies are members: National

Center and Google’s Ad Settings and follow Google’s personalized ad opt-out
instructions. Meta also offers an Ad Preferences center to customize your settings, as
well as a Privacy Policy with additional information on how you can exercise your rights.

Promotional Offers from eMed, its affiliates, or third-party partners. If you do not wish to
have your information used by eMed to promote our own products or Services, you can
unsubscribe by going to your eMed account, click preferences, and click off for the
communications that you do not wish to receive. If you are receiving email from eMed or from
one of our third-party partners, but do not have an account with us, you can unsubscribe in the
bottom of the email. If you are not able to unsubscribe online through one of those methods,
please contact us and we can handle your request. You can also always exercise your right to
ask us not to process your Personal Information for marketing purposes by contacting us at the
address in Section XIII: CONTACT INFORMATION. If we have sent you a promotional email,
you may unsubscribe by clicking in the unsubscribe link in the bottom of the email.

eMed’s Mobile Alerts Program. By joining the eMed mobile alerts program, you consent to
receive recurring marketing text messages including those sent using an automatic telephone
dialing system or an artificial or prerecorded voice. Your consent to receive text messages is not
a condition of purchase. Message (Msg) and data rates may apply. Carriers are not liable for
delayed or undelivered messages. The eMed mobile alerts program is available in the US only.
Standard messaging rates apply to your entry or submission message to any eMed text
message service, our confirmation and all subsequent text message correspondence. Please
contact your wireless carrier for information about your messaging and data plan(s). Your carrier
may impose message or charge limitations on your account that are outside our control. All
associated charges are billed by and payable to your mobile service provider. Data obtained
from you in connection with our text message service may include your cell phone number, your
carrier's name, and the date, time and content of your messages to us and other information
that you may provide. We may use this information to contact you and to provide the services
you request from us, and to otherwise operate, develop and improve the service. Your wireless
carrier and other service providers may also collect data about your text usage, and their

practices are governed by their own policies. For purposes of the Mobile Alerts Program, text
messages will be sent only to the wireless telephone number provided by you. We reserve the
right at all times to disclose any information as necessary to satisfy any law, regulation or
governmental request, to avoid liability, or to protect our rights or property.

Telehealth Providers’ Mobile Alert Programs. Telehealth providers may offer mobile alert
programs. Your participation in these programs is subject to the telehealth providers’ mobile
terms and conditions.

VI. DATA SECURITY

We have implemented measures designed to reasonably secure your Personal Information from
accidental loss and from unauthorized access, use, alteration, and disclosure.

Where we have given you (or where you have chosen) a password which enables you to
access certain parts of our Website or the App, you are responsible for keeping this password
confidential. We ask you not to share a password with anyone. The information you share in
public areas may be viewed by any user of the Website or the App.

Unfortunately, the transmission of information via the Internet is not completely secure. Although
we will do our best to protect your Personal Information, we cannot guarantee the security of
your data transmitted to our Website or the App; any transmission is at your own risk.

When you use our Website there is a risk that your Personal Information will be stored
unencrypted on your mobile device. We take a variety of technical safeguards to make sure that
your Personal Information does not leak onto your mobile device but we cannot guarantee that
these safeguards work.

encourages you to read the privacy statements and terms and conditions of linked or referenced

Information. EMED DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR WHAT THIRD
PARTIES DO IN CONNECTION WITH THEIR WEBSITES, OR HOW THEY HANDLE YOUR
PERSONAL INFORMATION. PLEASE EXERCISE CAUTION AND CONSULT THE PRIVACY
POLICIES POSTED ON EACH THIRD-PARTY WEBSITE FOR FURTHER INFORMATION.

In some cases, we offer links to social media platforms (like Instagram, LinkedIn, TikTok, and X
(formerly known as Twitter) that enable you to easily connect with us or share information on
social media. Any content you post via these social media pages is subject to the Terms of Use
and Privacy Policies for those platforms.

VIII. CHILDREN UNDER THE AGE OF 18

Our Website and the App are not intended for use by children under the age of 18 without
parental consent. If you are under the age of 18, your parent or legal guardian must create your
account, submit your Personal Information, and agree to this Privacy Policy on your behalf.

If you are under the age of 13, you may only access our Website and the App and use our
services with the supervision or consent of your parent or legal guardian. We will not require you
to disclose more information than is reasonably necessary to allow us to provide the services.
Your parent or guardian may review your Personal Information, direct us to delete it and refuse
to allow further collection or use of your Personal Information.


If we learn that we have collected Personal Information from a minor under the age of 13
without verification of consent from a parent or guardian, we will delete that information. If you
believe that we have impermissibly collected Personal Information from or about a minor under
the age of 13, or if your parent or legal guardian wishes to review your Personal Information,

IX. HOW LONG WE KEEP YOUR PERSONAL

INFORMATION

We retain your information for as long as needed: (i) to conduct business with you; (ii) fulfill the
purposes outlined in this Privacy Policy; and (iii) to comply with our legal obligations, resolve
disputes, and enforce any agreements.


Criteria we will use to determine how long to retain your Personal Information include the nature
and length of our business relationship with you; our legal rights, obligations, and retention
requirements; and if we have an ongoing business purpose for retaining your Personal
Information, such as communicating with you about ongoing or prospective Services you
requested.

X. EXERCISING YOUR PRIVACY RIGHTS

Depending on where you live, you may have the following rights with respect to your Personal
Information under applicable data protection laws:


• Access – The right to request access to and obtain a copy of any Personal Information
we may have about you.
• Deletion – The right to delete your Personal Information that we have collected or

produce legal or similarly significant effects. We do not collect or process sensitive
Personal Information outside of purposes permitted by law (such as section 7027(m)
under the California Consumer Privacy Act Regulations), so we do not offer the option to
limit its use. We also do not profile you or other individuals in a manner that would result
in legal or similarly significant effects, so we do not offer an opt out.

• Objection/Restriction of Processing – The right to object or restrict us from processing
your Personal Information in certain circumstances.
• Withdraw Consent – The right to withdraw your consent where we are relying on your
consent to process your Personal Information.
• Automated Decision-Making – The right to know when you are subject to automated
decision-making, the Personal Information used to render the decision, the principal
factors and parameters involved in the decision, and human review or correction of the
decision (or its underlying data, where appropriate). You may also have the right to
consent or opt out of this automated decision-making, depending on your location.
• Lodge a Complaint – The right to lodge a complaint with a supervisory authority or other
